Terms of Service

These Terms of Service ("Terms") govern your access to and use of the talvia platform, websites, and services (collectively, the "Services") operated by talvia GmbH, Hauflandweg 3, 8605 Gutenswil, Switzerland (UID CHE-266.016.139) ("talvia", "we", "us", "our"). By creating an account or using the Services, you agree to be bound by these Terms.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use talvia. You agree to provide accurate information during registration and to keep your account credentials secure. You are responsible for all activity under your account. Company accounts must be created by a person authorised to bind the company.

2. The Service

talvia is a talent accelerator that connects diverse professionals — particularly women returning to work — with companies seeking holistic, values-aligned hires. We provide AI-assisted matching, profile management, and curated review workflows. talvia is not an employment agency, staffing agency, or employer of record, and we do not guarantee employment outcomes, interviews, or offers.

3. User Conduct

You agree not to:

• Submit false, misleading, or discriminatory content;
• Use the Services to harass, defame, or harm any person or organisation;
• Post job descriptions that violate Swiss or EU anti-discrimination or employment law;
• Scrape, reverse engineer, or attempt to gain unauthorised access to the platform or its data;
• Upload content that infringes intellectual property or privacy rights;
• Contact talent outside the platform for purposes other than the role they were introduced for, without their consent;
• Use the Services for any unlawful purpose.

4. Content & Intellectual Property

You retain ownership of content you upload (CV, profile data, job descriptions, logos). By uploading, you grant talvia a worldwide, non-exclusive, royalty-free licence to host, process, index, and display your content for the purpose of operating the Services and matching talent with companies. The talvia platform, brand, matching algorithms, and underlying technology remain the exclusive property of talvia GmbH.

5. AI-Powered Matching

Our matching engine uses automated processing to parse CVs and job descriptions and to suggest candidates and opportunities. Most of a match score is computed by our own deterministic scoring; a large language model (Google's Gemini API) contributes a bounded share of it and assists with parsing. AI outputs are decision-support tools, not final decisions. Companies remain solely responsible for their hiring decisions and for compliance with applicable employment, equal-treatment, and anti-discrimination laws.

6. Fees & Payment

Talent accounts are free. Companies subscribe to partnership tiers as described on our Pricing page. Prices are in CHF or EUR as displayed at checkout and are exclusive of VAT unless stated otherwise. Payments are processed by Stripe. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice for existing subscriptions.

7. Termination

You may close your account at any time from your dashboard. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your account creates legal, security, or reputational risk, or if continued provision of the Services becomes commercially impractical. Sections that by their nature survive termination (IP, disclaimers, liability, governing law) will continue to apply.

8. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that matches will result in employment, that AI suggestions are accurate or unbiased, or that the Services will be error-free or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by law, talvia shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for any claim arising from the Services shall not exceed the greater of (a) the amount you paid to talvia in the twelve months preceding the claim, or (b) CHF 500. Nothing in these Terms limits liability that cannot be limited by mandatory Swiss law (e.g., for gross negligence or wilful misconduct).

10. Indemnification

You agree to indemnify and hold talvia harmless from any claims, damages, or expenses (including reasonable legal fees) arising from content you upload, your use of the Services in breach of these Terms, or your violation of any law or third-party right.

11. Governing Law & Jurisdiction

These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for any dispute is Zurich, Switzerland, subject to mandatory consumer-protection rules in your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or by email at least 14 days before they take effect. Your continued use of the Services after that date constitutes acceptance.
